US Company Formation (LLC & Corporation)

A US LLC or corporation gives access to US clients, payment platforms and investors. The state, entity type and tax classification are chosen together — the right answer differs for a SaaS founder and a holding.

01

Overview

  • LLC (Wyoming, Delaware, others)

Flexible, low-maintenance entity for operating businesses.

  • C-Corporation

Preferred by venture investors and for issuing shares.

  • Holding LLC

Ownership of assets or other companies.

Good fit for

  • SaaS, e-commerce and digital service businesses
  • Founders selling to US clients
  • Companies raising capital from US investors

Limitations to plan for

  • EIN and federal reporting, including forms specific to foreign-owned entities
  • State annual reports and registered agent
  • Where the business is actually managed and taxed

Banking

US accounts generally need an EIN and a clear activity. Many non-resident founders open with fintech banks first; traditional banks may ask for a visit.

Package and price

An independent licensed provider files the company; BDA coordinates. Final inclusions are confirmed in the written offer after KYC.

Wyoming example: the columns below describe a Wyoming LLC, whose own starting price is listed in the packages above. They do not describe the New Mexico or Florida offers, which are priced separately.

Usually part of formation

  • Articles of Organization filed with the Secretary of State
  • Registered agent for the first period
  • Operating agreement
  • EIN application, where agreed

Optional, quoted separately

  • Business address or mail handling
  • ITIN application
  • Accountant for Form 5472 / pro forma 1120, if the LLC is foreign-owned
  • Bank or payment-account application support

Every year

  • Wyoming annual report and state license tax (a state charge)
  • Registered agent renewal (a provider charge, quoted separately)
  • Federal filings that apply to the owner and the LLC

Wyoming: keep the state report/licence tax and agent renewal separate from federal tax work. A report may be filed 120 days early. New Mexico: current LLC maintenance duties are confirmed per case; no 'no annual obligations' promise is made. EIN, tax classification and foreign-owner filings require their own scope.

Delaware LLC or C-Corp

Delaware example: the LLC and the C-Corp are different entities with different yearly duties; Delaware has its own starting price in the packages above.

Usually part of formation

  • Certificate of formation (LLC) or incorporation (C-Corp) with the Delaware Division of Corporations
  • Registered agent in Delaware
  • EIN application

Optional, quoted separately

  • Business or mailing address
  • ITIN for an individual owner
  • Qualification to do business in other states
  • Federal and state tax returns, such as Form 5472 where it applies

Every year

  • LLC: flat annual tax
  • C-Corp: annual franchise tax and annual report
  • Registered agent renewal, separate from the state charges

Steps and documents

How formation runs

  1. 01

Select Wyoming, New Mexico or another state and determine entity/tax classification.

  2. 02

Arrange the statutory registered agent, formation document and operating agreement or corporate governance documents.

  3. 03

Scope EIN application, banking preparation and federal/state compliance calendars independently.

Documents and requirements

  • Passport and proof of address for every owner, director and beneficial owner
  • Short CV or business background
  • Description of the activity, countries and expected flows
  • Evidence of source of funds
  • Select the state and LLC versus corporation before filing; an LLC has members/managers, not compulsory corporate director/shareholder offices.
  • Wyoming annual reports are due on the first day of the formation-anniversary month. The licence tax is USD60 or 0.0002 of assets located and employed in Wyoming, whichever is greater; processing fees may be extra.
  • FinCEN currently exempts entities created in the US from BOI reporting. Foreign entities registered in the US follow separate rules. This does not remove bank KYC, tax or other reporting.

Optional corporate services

Nominee director

An appointed director serves on the company's governing body and has real statutory and fiduciary responsibilities. This is not simply a name on a register: decision-making powers, signing authority and reporting duties must be agreed lawfully.

Availability and price on request

USA: for an LLC, assess a manager appointment—not a nominee corporate director. A corporation's directors have real governing duties. No nominee manager or director arrangement is confirmed; provider and legal review are required.

Nominee shareholder

A nominee shareholder holds registered legal title to shares for an identified beneficial owner under a lawful, documented arrangement. Voting, dividends, instructions and transfer rights must be defined; this is a different role from a director.

Availability and price on request

USA: LLC membership and corporate shareholding are different ownership instruments. FinCEN's domestic-entity exemption does not guarantee anonymity or prevent banks/agents from identifying the actual owners and control chain.

Beneficial-owner identification and bank/registered-agent KYC still apply. Nominee arrangements do not guarantee anonymity, an account, residence or a tax result. Availability, approvals and duties depend on local law and the provider's acceptance; some arrangements are unavailable or prohibited.

Banking application assistance

Business profile, ownership documents and application coordination. The bank makes its own decision; opening fees and ongoing bank charges are separate.

Registered office & company administration

Address, agent or secretary arrangements where required, corporate amendments and annual compliance coordination. The quote must state each service and period covered.

Incorporation is the easy part.

Most structures run into trouble later — at the bank, or with tax authorities. We plan for these from day one.
  1. The bank says no

A company without a clear activity, substance or source-of-funds story is hard to bank. The account route is assessed before incorporation, not after.

  2. Tax residence follows management

Where a company is managed and where its owners live can matter more than where it is registered. This is reviewed with qualified tax advisers.

  3. Permanent establishment

Staff, offices or decision-making in another country can create a taxable presence there. The operating model is mapped early.

  4. Automatic exchange of information

Under CRS and FATCA, account information is shared between many countries. Structures are designed to be transparent and compliant.

Questions

Which company type is used in USA?

LLC (Wyoming, Delaware, others): Flexible, low-maintenance entity for operating businesses. C-Corporation: Preferred by venture investors and for issuing shares. Holding LLC: Ownership of assets or other companies.

Can a USA company open a bank account?

US accounts generally need an EIN and a clear activity. Many non-resident founders open with fintech banks first; traditional banks may ask for a visit. Banks decide independently. We prepare the application and explain likely options; no account is guaranteed.

Is the local tax rate my total tax?

For federal tax, a single-member LLC is disregarded and a multi-member LLC is treated as a partnership by default; either can elect corporate treatment (Form 8832). State taxes and owner taxes are separate. No. Where the company is managed, where income arises, reporting rules and the owners’ own tax residence can create tax elsewhere. A qualified tax adviser reviews this before incorporation.

Is the starting price final?

No. It covers the simplest eligible case. Government fees, annual charges, VAT and third-party costs are confirmed in a written scope before payment.

Low or zero local tax is conditional

A local rate is not your total tax. Where the company is managed, where income arises, reporting rules and the owners’ own tax residence can create tax elsewhere. Your position is reviewed with a qualified tax adviser before incorporation.

Who files the company and how long does it take?

An independent local registered agent or corporate service provider, where required and suitably qualified. BDA coordinates. Timeline: Given after KYC review; depends on the registry and the provider.

Can ownership stay anonymous?

No. Beneficial owners are identified to providers and banks, and to registries where the law requires. Nominee services, where lawful, do not replace this disclosure.

Can a nominee replace beneficial-owner disclosure?

No. The director and shareholder roles are separate legal appointments. Beneficial owners must still be identified for applicable registry, agent and bank checks. Neither service is automatically available or included in formation.
